Business purpose: Provision of IT services, trade in hardware and software, supply of labour

1. realisation of workshops and meetings
mountX meetings are held remotely via Microsoft Teams (other online platforms are also possible on request).

2. on-site meetings & expenses
For on-site meetings, travel expenses of EUR 1.50 per kilometre travelled will be charged. This amount covers both travel costs and travelling time of the consultants - regardless of the number of consultants travelling. Hotel costs will be charged separately.

3. invoicing & terms of payment
Invoices are issued at the end of each month for services rendered up to that point. The term of payment is 10 days from the invoice date without deduction. In the event of late payment, we reserve the right to charge statutory default interest (§ 456 UGB) and reminder fees.

4 Scheduling and cancellations
Appointments are scheduled by mutual agreement between the contact person of mountX GmbH and the contact person of the customer. Appointments can be cancelled free of charge up to one week before the agreed date. In the event of cancellations at shorter notice, we reserve the right to charge the planned expenditure on a pro rata basis.

5 Working hours & surcharges
If additional assignments are requested outside regular working hours, the statutory overtime costs incurred as a result will be passed on to the customer. Regular working hours are Monday to Thursday from 8:00 to 16:30 and Friday from 8:00 to 13:00 (excluding public holidays in Austria).

6. offers & confidentiality
The calculation of our offer prices is based on the information provided to us. Our quotation is valid for two months from the date of issue, unless it is cancelled by us in writing beforehand or replaced by a new quotation. All figures and results obtained in the course of the co-operation are the exclusive property of the customer and are subject to the confidentiality obligation of mountX GmbH. The parties undertake to maintain confidentiality regarding all business and trade secrets that become known in the course of the co-operation - even after the end of the project. mountX reserves the right to use subcontractors or partner companies to provide services. These are contractually bound to the same confidentiality as our own employees.

7 Rights of use and ownership
Documents created by mountX are provided to the customer for exclusive and unrestricted use. Passing on the documents to other companies not belonging to the client is prohibited. The results produced in the project serve the client as support in the realisation of various goals and projects. The responsibility for the decision, implementation and utilisation lies exclusively with the customer. Source code, scripts or technical components developed by mountX remain - unless otherwise agreed - the intellectual property of mountX GmbH.

8 Liability
mountX is only liable for damages caused intentionally or by gross negligence. Liability for loss of profit, loss of data or indirect damage is excluded to the extent permitted by law. Liability is limited to the amount of the order value.

9. data protection
mountX does not process any personal data on behalf of the customer. In the event of selective access (e.g. in the case of support), this will only take place with express instructions and in compliance with confidentiality. mountX acts as an independent controller and not as a processor.

10. naming of references
After completion of the project, we may include your company name and logo in our reference list. Sollten Sie damit nicht einverstanden sein, bitten wir um eine entsprechende Mitteilung.

11. place of jurisdiction and applicable law
Es gilt österreichisches Recht unter Ausschluss des UN-Kaufrechts. Gerichtsstand für alle Streitigkeiten ist Klagenfurt am Wörthersee, sofern keine zwingenden gesetzlichen Vorschriften entgegenstehen.
